I think it's some spyware crap. I remember having a similar icon. I think it was called Memory Meter.

Check your add/remove programs list in control panel for a "memory meter" entry.

Its not spyware its for monitoring your uploads and download speeds and keeping records of how much you have downloaded or uploaded
