    Can anybody give me an accurate description of the following:

    1. Duties and responsibility of a company secretary
    2. Expected role in the day to day running of the company
    3. Legal responsiblities
    4. Level of authority (i.e. does the secretary have the ultimate decision right during disagreements between directors and does he/she have a higher say or level of authority then the managing director)

    any other info about the position would be great!

    Trying to find somewhere on the net that can explain all this to me but so far have found nuthin.
