    I am the chairperson of a voluntary development committee whose main objective is the restoration of an old building as a community asset. It appears that it will become necessary to form a Company Limited by Guarantee Without Share Capital in order to develop and run the proposed project.

    Present Status:

    • Voluntary local development committee, with officers elected at AGM and other committee members.
    • Bank Account, Charitable Status and Tax Number in the name of above committee.
    • Property bought in name of three elected trustees.
    • Voluntary Committee to lease property above from trustees and to refurbish same as a community asset.

    Future Plans

    • Company Limited by Guarantee to be formed in order to run the proposed project.

    Questions

    • Is it possible / advisable to transfer the assets of the voluntary committee to the new company, which will consist largely of the same members as the present committee?
    • Can the new company use the Charitable Status Number and Tax Number that have been allocated to the voluntary committee?
