    Can someone clarify for me what a special resolution is required for? Is it only for any changes to the Articles of Association? Thanks for any input.

    It depends on what is contained in the rules governing the company. ‘Ordinary’ business at an AGM is approved by an ‘ordinary resolution’, which requires > 50% of the voting members to be approved.
    ‘Special’ business (e.g. changes to the A of A / Constitution of the company / liquidation) at an AGM or an EGM is passed by a ‘Special Resolution’. A majority of 75% is required for special resolutions and there are longer notice periods required for calling the associated meetings (there are some ways around this). Special resolutions must be filed at the Registrar of Companies within 14 days of being passed
