    I won't have time to get three done. If you had to choose two out of three of 1restriction/disqual 2. Realisation of Corp assets and 3. Minorities which two would you pick? I'm veering towards 2 & 3

    Normal will be fine providing you leave it on the ground during the exam. Each table has a little indent for leaving your pens in so your stationary won't be rolling all over the place.

    Another bit or advice for first time candidates - you're allowed to bring a bottle of water in. I think the info pack says no food or drink but that just means coffee cups that could have writing on them.

    Can someone explain to me the relevance of Fyffes v DCC IEHC? It seems the only purpose of knowing it is for Laffoy J's commentary on the instances where SLP may be discarded but it has no practical effect on the case at hand?

    If you're not covered then I'm done.

    I have:
    -SLP
    -Directors Duties for 228, 231, 238 and 239 - nothing about who else they're owed to
    -Minority Rights - Foss v Harbottle
    -Liquidation

    Of those 4 they came up in 4,4,4,3 of the last 5 sittings.

    Then I have

    -Examinership
    -Receivership
    -UV
    -Corporate Authority

    Examinership and Receivership are both due as not last year, Authority and UV are due also

    If they fail I have:

    Floating Charges ( because i can't get my head around ROT and that jazz)
    SAP because he's asked it before and if I need to I can chuck everything into a possible "5 changes question" with SAP, Directors duties, UV abolition, Listing out the new ltd changes and then I guess the 2 step registration process.

    Surely you're fine?

    Don’t bring in your “smart watches” as well.. or have them on you or on your desk. Was asked if my watch was smart (definitely not). Was everyone effected by the drilling sound and given an extra 5 mins today?I was towards the front of our room and it was so annoying. Started about 3 mins into the exam. Literally sounded like they were drilling into the wall in front of me

    Yes I did a short paragraph on the duty Sam owes to trespassers under the Occupiers Liability Act. I was quite happy with this particular question.

    Did anyone try the defamation essay? Felt this question really let me down, feel like I misinterpreted it. Discussed statements which have defamatory effect but how society’s views change with time when referring to case law.

    For tomorrow in company I’ve covered the following:

    Incorporation
    SLP
    Authority
    UV
    Directors - duties and who they owe them to
    Restrictions and disqualification
    Shares and share transfer
    Shareholder protection - s212 and Foss v harbottle
    Corporate borrowing
    Liquidation
    Receivership -duty to obtain best price
    Disposition of assets

    Should I be ok? I left out examinership because I couldn’t get my head around it and it rarely comes up but I see everyone talking about it so I’m worrying slightly!!

    I’m pretty messed up for constitutional. I’ve no idea what to study - doing legislative function, executive function, judicial function, constitutional interpretation, AG, President, trial in due course of law, religion, property, expression, privacy, equality, and learning an EU law essay,right to life and die natural death, resource based questions, Crotty and Pringle. Does this sound enough?

    Also, if anyone needs sample answers for anything except EU, PM me.

    I feel like I have a medicore understanding of everything i have studied and remember a good few cases (if I can just pinpoint where they come under in the exam) but I have no idea how I'll stretch what I know to 2-4 or more pages per answer :/
