Owners Management Company - member appoints non member Proxy, but can the Proxy join Committee?

In a housing estate, run by a members OMC, the articles of assocation state any member can appoint a proxy to attend AGM, Vote, etc. Can a (non member) proxy go on committee/be a Director to represent the members interests?

They would be allowed attend as proxy in place of the named member but could not hold any role (or even attend!) in their own right.

Anybody can be a director unless the constitution of the company limits directorship to members/shareholders.
